Terms of Service

The agreement between eSIMLab and the business using the platform. Written to be read, with the commercial terms stated where you can find them.

  • Status: draft
  • Not reviewed by counsel
  • Not yet in force

1. Who we are

These terms are the draft agreement between the company that operates eSIMLab and the business that opens an eSIMLab account. The operating company has no published registration yet, so this section names no company, no registration number and no registered office. Until it does, and until the document has been through legal review, this text is published for reading rather than for acceptance.

2. The service

eSIMLab provides software that lets you operate one or more branded eSIM storefronts, connect eSIM providers, set prices, take payments and deliver eSIMs.

We do not sell eSIM plans to your customers. The seller is you. We are not a party to the contract between you and the traveller, nor to the contract between you and your eSIM provider.

What your plan includes

Your plan includes the storefront, the workspace and the integrations described on the pricing page at the time of purchase. eSIM provider costs and payment processing fees are not included.

Availability

There is no uptime commitment and no service level agreement on any plan. We publish what is running, and what is not, on the status page. Custom terms, including an SLA, are discussed case by case on Scale and are not part of these terms unless they are signed separately.

3. Your account

You are responsible for the accuracy of your account details, for the security of your credentials, and for what the people you invite into your workspace do.

You must tell us promptly, through the contact form, if you believe an account has been accessed without authorisation.

4. Fees and billing

Plan fees are shown on the pricing page and are charged monthly or yearly in advance. Prices exclude VAT and other local taxes, which are added where applicable.

We take no commission on your sales. Customer payments settle directly to your own payment provider account.

Invoices are issued automatically. If a payment fails we may suspend access after written notice; the length of that notice is not yet set.

5. Your customers and your obligations

You decide what you sell, at what price, in which markets, and you are responsible for the customer relationship, including support, refunds and complaints.

You are responsible for complying with the law that applies to your business, including consumer protection, distance selling, tax, and telecommunications rules in the markets you sell to.

You must publish accurate terms, privacy information and contact details on your storefront, and honour them.

You are the controller of your customers personal data. Our processing of it is governed by the Data Processing Agreement.

6. Provider relationships

You connect eSIM providers using accounts you hold with them. Their terms, prices, coverage and service levels are theirs, not ours.

If a provider changes or withdraws a plan, or fails to provision an order, we surface the failure and retry where possible, but we cannot guarantee a provider service.

7. Acceptable use

  • Do not use the platform to break the law, infringe rights, or sell to markets where you are not permitted to sell.
  • Do not misrepresent coverage, speeds or terms of the plans you sell.
  • Do not attempt to access other customers workspaces or data, probe our systems without permission, or interfere with the service.
  • Do not resell access to the platform itself as if it were your own software product without a written agreement with us.

8. Intellectual property

We keep all rights in the platform, its software and its documentation. You keep all rights in your brand, content and customer data.

You grant us a limited licence to host and display your content for the purpose of running your storefront. We do not use your brand in our marketing without your written permission.

9. Warranties and disclaimers

We provide the platform with reasonable skill and care. Beyond what these terms state, and to the extent the law allows, we do not give other warranties.

10. Liability

This section is deliberately empty. A liability cap is a commercial decision taken with counsel, and writing a plausible-looking one here would give the impression that a limit had been agreed when none has. Until it is drafted and this document is in force, nothing in this section limits anything.

11. Term and termination

The agreement runs for as long as your account is open. You can cancel at any time; your access continues to the end of the paid period and no refund is due for the remainder unless the law requires one.

We may suspend or terminate for material breach, non-payment after notice, or unlawful use. Where the breach can be fixed, we give you a period to fix it; the length of that period is not yet set.

On termination you can export your data for a period that is not yet set, after which it is deleted in line with the Privacy Policy.

12. Changes to these terms

We may change these terms. Where a change materially affects you we give notice by email before it takes effect, and you may cancel before it does.

13. Governing law and disputes

Governing law and the courts with jurisdiction are settled when the operating company is registered and this document is reviewed. They are not chosen on this page, because a jurisdiction picked to fill a gap is worse than an admitted gap. Mandatory consumer rights are unaffected either way.

Questions about this document

Write to us through the contact form, choosing "Legal and invoicing" as the reason. We answer in writing.

This is a draft. It has not been through legal review, it names no company registration, no governing law and no liability cap, and it is not in force. Where a clause needs one of those, it says so where the clause is, rather than carrying a number nobody has agreed to.
